Terms of Service

Plain-English summary: Adam is a personal AI assistant you can access via subscription. Use it responsibly and legally. AI responses can be wrong — don't rely on Adam for medical, legal, or financial decisions. Subscription gives you access for the period you've paid for; cancel anytime through Patreon or Stripe; some categories of refund are at the Operator's discretion. The Operator is one person in British Columbia, Canada, not a corporation, and these terms are governed by Canadian law.

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Adam ("the Service"), operated by An Ordinary Guy from British Columbia, Canada ("the Operator", "we", "us"). By creating an account, paying for a subscription, downloading the desktop application, or using the web interface at adam.adamonline.ca, you ("you", "the User") agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Adam is a locally-hosted artificial intelligence assistant providing conversational responses, voice interaction, and various productivity capabilities. The Service comprises:

The desktop application runs the AI inference locally on the User's machine using open-source models. The web interface uses inference running on the Operator's hardware.

3. Subscription tiers and pricing

Adam is offered through the following subscription tiers:

Prices are in United States Dollars (USD) and are subject to change at the Operator's discretion, except that All-Access Limited-Time Offer prices, once locked in for an active subscriber, will be honoured for the duration of that subscriber's continuous active subscription.

All-Access Limited-Time Offer price lock terms

Subscribers who join the All-Access tier at the introductory price retain that price as long as their subscription is continuously active. If an All-Access subscription lapses (payment failure, voluntary cancellation, or any other interruption that results in a status of "lapsed" or "cancelled" in our records), the price lock is forfeited. Re-subscription will be at the current public price at the time of re-subscription.

Server-hosted AI inference (All-Access only)

The All-Access tier reserves the right to call the operator's server-hosted AI inference, including the coding agent and related server-side abilities. This access is contingent on the operator's server being online and having available capacity at the time of the request. The operator does not guarantee any specific uptime or response time for server-hosted inference. When the server is unavailable, the desktop application continues to function using locally-hosted inference; server-hosted capabilities are unavailable until the server returns.

We do not process or store payment card information. All card data is handled by Patreon or Stripe.

5. Refunds

Important: Refunds are generally not provided for partially-used subscription periods. Cancelling a subscription stops the next billing cycle but does not retroactively refund the current period.

The following refund policies apply:

  1. Patreon subscriptions — Refund eligibility is governed by Patreon's refund policy. The Operator may, at sole discretion, issue a courtesy refund or partial refund for documented service unavailability of more than 7 consecutive days, technical inability to access the Service due to verifiable Operator-side error, or other exceptional circumstances. Such refunds are not guaranteed and are made at the Operator's discretion through Patreon's refund mechanism.
  2. Stripe subscriptions and add-ons — Add-on purchases can be cancelled at any time and will stop renewing. Refunds for the current period are not provided as standard policy. Discretionary refunds follow the same criteria as Patreon refunds above.
  3. Fraud, abuse, or ToS violation — Subscribers whose access is terminated under Section 9 of these Terms are not entitled to refunds for unused subscription time.

To request a discretionary refund, email support@adamonline.ca with your account email, the approximate dates of unavailability, and a description of the issue. We will respond within 14 days.

6. Cancellation

You may cancel your subscription at any time through:

Upon cancellation, your access continues until the end of the current paid period (subject to a 7-day grace period as described in our subscription verification system). After that, the desktop application enters a locked state and the web guest account remains available if the Operator continues to provide that service.

7. Acceptable use

You agree to use Adam only for lawful purposes. You will not use the Service to:

Violation of these acceptable-use terms may result in immediate termination of your account under Section 9.

8. AI output disclaimer

Adam is not professional advice. Adam is a conversational AI assistant. Its responses may be inaccurate, incomplete, biased, out of date, or fabricated. Do not rely on Adam for medical, legal, financial, tax, or safety-critical decisions. Always consult qualified human professionals for important matters.

Adam uses large language models that can produce confident-sounding but factually incorrect responses (commonly called "hallucinations"). The Operator makes no warranty that Adam's responses are accurate, complete, fit for any particular purpose, or up to date. You are solely responsible for verifying any information Adam provides before acting on it.

Adam's responses do not constitute the professional advice of a doctor, lawyer, accountant, engineer, financial advisor, or any other qualified professional. If you require such advice, consult a qualified human professional in your jurisdiction.

9. Account suspension and termination

The Operator may suspend or terminate your account, with or without notice, for any of the following reasons:

You may terminate your account at any time by cancelling all subscriptions (Section 6) and requesting data deletion under the Privacy Policy.

10. Service availability

Adam is operated by a single individual on consumer hardware. The Operator does not guarantee any specific uptime or availability of the Service. The Service may be unavailable for scheduled maintenance, unscheduled downtime, hardware failure, power outage, internet outage, or other reasons outside the Operator's control.

The desktop application is designed to function offline for up to 7 days after the last successful subscription verification, after which it will enter a locked state and require re-verification. This grace period is a feature of the subscription verification system, not a guaranteed offline period.

11. Intellectual property

The Adam software, including the desktop application, server code, web interface, branding, and documentation, is the property of the Operator. Subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use Adam for personal purposes during the term of your active subscription. This licence does not transfer ownership of any Adam intellectual property to you.

Open-source components used in Adam (including but not limited to Llama 3.1 model weights, Ollama, FastAPI, and ChromaDB) are licensed under their respective licences and may be subject to separate terms.

Content you generate through conversation with Adam — your prompts and Adam's responses to those prompts — is yours to use for any lawful purpose. The Operator claims no ownership of your conversation content.

12. Limitation of liability

To the maximum extent permitted by law, the Operator's total cumulative liability to you for any and all claims arising out of or relating to these Terms or your use of the Service is limited to the amount you paid the Operator for the Service in the 12 months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

In no event will the Operator be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if the Operator has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of these limitations may not apply to you. In British Columbia, statutory consumer protections may apply notwithstanding any provision of these Terms.

13. Warranty disclaimer

The Service is provided "as is" and "as available", without warranty of any kind, express or implied. The Operator disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or course of performance, to the maximum extent permitted by applicable law.

14. Indemnification

You agree to indemnify and hold harmless the Operator from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any rights of a third party, or your violation of any law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email to active subscribers at least 14 days before they take effect. Continued use of the Service after a material change constitutes acceptance of the updated Terms. If you do not agree to a change, you may cancel your subscription before the change takes effect.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that the Operator may seek injunctive relief in any court of competent jurisdiction.

Before initiating formal legal proceedings, both parties agree to attempt informal resolution by contacting legal@adamonline.ca with a description of the dispute and a proposed resolution.

17. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Operator concerning the Service and supersede any prior agreements.

The Operator publishes under a pseudonym for personal-safety reasons. Real legal identity is held by the Operator and will be disclosed in response to a valid Canadian court order, lawful subpoena, or other binding legal process.
